This Master Legal Agreement ("Agreement") governs the access to and use of all services provided by UnifiedBridge Limited, a company incorporated in Hong Kong ("UnifiedBridge"). By accessing or using UnifiedBridge’s services, the Customer agrees to be legally bound by this Agreement.
This Agreement constitutes a binding legal contract between UnifiedBridge and the entity or individual ("Customer") accessing the Services.
“Services” means wholesale VoIP, SIP Trunking, Virtual Numbers, Messaging, Cloud
PBX, and related telecommunications services.
“Customer” means any entity using UnifiedBridge Services.
“MRC” means monthly recurring charges.
“NRC” means non-recurring charges.
Customer represents that it is legally authorized to enter into binding agreements and is at least 18 years of age.
UnifiedBridge provides wholesale telecommunications services on a prepaid basis unless otherwise agreed in writing. Services are not a replacement for emergency telecommunications services.
Customers must provide accurate registration details. UnifiedBridge may require identity verification and corporate documentation. Failure to comply may result in suspension or termination.
Customer warrants that it is not subject to international sanctions, is not engaged in unlawful activity, and complies with anti-money laundering and counter-terrorism laws. UnifiedBridge reserves the right to suspend services if compliance risks arise.
All services operate on a prepaid basis. Charges include MRC, NRC, usage-based fees, carrier surcharges, and applicable taxes. All fees are non-refundable unless otherwise agreed. Chargebacks may result in suspension and additional fees.
Customer shall not engage in traffic pumping, artificial inflation, or fraud; transmit unlawful or unsolicited communications; or circumvent payment obligations. UnifiedBridge may immediately suspend services upon detection.
UnifiedBridge processes Personal Data in accordance with Hong Kong law. Data is used for service provisioning, billing, regulatory compliance, and fraud prevention. Customers remain data controllers of end-user data.
UnifiedBridge implements industry-standard safeguards. However, no system guarantees 100% security.
Customer acknowledges that data may be processed internationally where necessary for service delivery.
UnifiedBridge may use cookies and tracking technologies to improve service functionality and security.
Services are provided on a best-efforts basis. Maintenance may occur without prior notice in emergency cases.
UnifiedBridge may suspend or terminate services for non-payment, regulatory risk, fraud, or breach of this Agreement. Customer remains liable for all outstanding charges.
UnifiedBridge shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed amounts paid by Customer in the preceding 3 months.
This Agreement shall be governed by the laws of Hong Kong. Any dispute shall be resolved in the courts of Hong Kong.
UnifiedBridge may modify this Agreement at any time by publishing updated terms.
This Agreement constitutes the entire understanding between the parties.
